Please read sections 6, 8, 9, 10, 15, 16, 17, 18 and 20 carefully. They restrict how you may use the App, describe features that can permanently and irreversibly destroy your data, disclaim warranties about the App's protective capabilities, place you on notice that you assume the risk of using it, limit our liability, release claims, impose a one-year deadline for bringing any claim, and require most disputes to be resolved by individual binding arbitration rather than in court, with a waiver of class actions and jury trial. You may opt out of arbitration within 30 days — see §20.6.

1. Agreement to these terms

These Terms of Service (the "Terms") form a binding agreement between you and LOCKMERE AI LABS LLC, a Wyoming limited liability company with a registered address at 30 N Gould St, Ste R, Sheridan, WY 82801, United States ("Lockmere", "we", "us"). They govern your download, installation and use of the VeilX mobile application and any updates to it (the "App").

By installing or using the App, you accept these Terms. If you do not accept them, do not install or use the App, and delete any copy you hold. If you are using a version of the App obtained outside Google Play, these Terms still govern your use of it.

Our Privacy Policy is incorporated into these Terms by reference.

2. Eligibility

You may use the App only if you are at least 16 years old (or the age of digital consent in your country, if higher) and have the legal capacity to enter into a binding contract. If you use the App on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes it.

You may not use the App if you are barred from doing so under any applicable law, or if you are located in, ordinarily resident in, or acting on behalf of a person in a country or territory subject to comprehensive United States sanctions, or if you appear on any United States government restricted-party list. See §14.

3. What VeilX is — and what it is not

VeilX started as an internal project at Lockmere AI Labs — software we wrote to keep our own team's client material and unreleased projects private, as our work requires. People we work with asked to use it, and we decided to make it generally available. It reaches you in the shape it was built in, which is why the following matters.

VeilX is client software that implements the open Matrix messaging protocol. This distinction is fundamental to these Terms, and you should be clear about it before relying on the App:

4. Licence

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use one copy of the App per device you own or control, for your own or your organization's internal purposes. We reserve all rights not expressly granted. The App is licensed, not sold.

You may not, and may not permit anyone else to: (a) reverse engineer, decompile, or disassemble the App, except to the extent that applicable law expressly permits this despite this limitation; (b) rent, lease, sell, sublicense, or distribute the App; (c) remove or obscure any proprietary notice; (d) use the App to build a competing product; (e) circumvent any security or licensing mechanism in the App; (f) represent that a modified build of the App is ours, or distribute a modified build under the VeilX name; or (g) use the App in violation of these Terms or any applicable law.

The App incorporates third-party open-source components, which are licensed to you under their own respective licences and which carry their own disclaimers of warranty and liability from their respective authors. Where an open-source licence grants you rights broader than this section, that licence controls for that component.

5. Your responsibilities

You are solely responsible for:

6.1 Prohibited uses

You must not use the App to: transmit unlawful content; harass, threaten, defame, or stalk anyone; distribute malware; infringe intellectual property or privacy rights; transmit child sexual abuse material; facilitate terrorism, trafficking, or any other criminal offence; or evade a lawful order that binds you. Because we host nothing and can see nothing, enforcement of this section is necessarily a matter between you, your server operator, and the authorities of your jurisdiction — but a breach of this section is a breach of these Terms, terminates your licence under §4 immediately, and triggers your indemnity under §19.

6.2 High-risk use is not permitted

The App is not designed, tested, or licensed for use in any circumstance in which its failure, unavailability, interception, or the disclosure of information handled through it could result in death, personal injury, or severe harm to any person, or severe financial, regulatory, or environmental damage — including without limitation emergency or life-safety communications, medical use, the operation of critical infrastructure, aircraft or vehicle control, or any use in which a person's physical safety depends on the confidentiality, integrity, or delivery of a message.

You represent and warrant that you will not put the App to any such use. If you nevertheless do so, you do so entirely at your own risk and on your own responsibility, you accept sole liability for the consequences, and you agree that we bear none. This restriction is a material term of these Terms; the App is provided free of charge on the express basis of it.

7. Third-party services

The App interoperates with services we neither own nor control, including your Matrix homeserver, the Element Call server, any proxy you configure, OpenStreetMap's tile and geocoding services, a public DNS resolver, a connectivity-probe endpoint, any push distributor you install, and any server-assisted unlock or remote-management service your organization deploys. Your use of those services is governed by their terms and privacy policies. We make no representation about them, do not endorse them, do not control what they do with what they receive, and are not liable for their availability, performance, security, pricing, lawfulness, or conduct. Any dispute you have with one of them is between you and them, and you will not join us to it. The Privacy Policy sets out exactly what each of them receives.

The same applies to other users. We are not responsible for the conduct of any person you communicate with through the App, for what they do with what you send them, or for any dispute between you and them.

8. Data-destroying features — read this before enabling them

The App contains features whose entire purpose is to destroy data permanently, without confirmation and without any possibility of recovery. By enabling them you accept that risk in full and accept sole responsibility for the consequences.

You are responsible for keeping independent backups of anything you cannot afford to lose. The App is not a backup system and is designed, deliberately, to make data unrecoverable. You acknowledge that data loss is a foreseeable and intended consequence of the features described in this section, and you accept it.

9. Security: what the App does not promise

VeilX provides security features. It does not provide security guarantees, and it must not be treated as one.

Without limiting §15, you acknowledge and agree that:

Do not rely on the App as the sole safeguard in any situation where the disclosure, loss, or non-delivery of information could cause serious harm to any person or serious damage to your business. See §6.2.

10. Assumption of risk and no reliance

You acknowledge that you have read §6, §8 and §9, that you understand the nature of the App and the risks of using it, and that you assume those risks knowingly and voluntarily. You are using free software, obtained without payment, whose operation we cannot observe and whose environment we do not control.

You further acknowledge that you have not relied on any statement, representation, warranty, demonstration, screenshot, store listing, review, or assurance about the App other than what is expressly written in these Terms, and that no such statement forms part of this agreement. No employee, contractor, or agent of ours has authority to vary these Terms orally or in writing except by a signed written amendment.

11. Feedback

If you send us feedback, bug reports, feature suggestions, or other ideas about the App, you grant us a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable licence to use, modify, and exploit them for any purpose, without obligation, attribution, or compensation to you. You represent that you have the right to give us that feedback. We are free to develop features that resemble your suggestion, whether or not derived from it, and you will make no claim in respect of that.

You may report a security vulnerability to us at service@lockmere.io. We appreciate responsible disclosure but do not operate a paid bounty programme, and reporting a vulnerability creates no entitlement to payment.

12. Fees

The App is currently provided free of charge. We may introduce paid features in the future; if we do, the terms and prices will be disclosed before you incur any charge, and you will not be charged for anything you have not agreed to. Any charges made through Google Play are handled by Google under its terms, including its refund policy.

13. Updates, changes, and availability

We may release updates, modify or discontinue features, or discontinue the App entirely, at any time and without liability to you. Updates may be delivered automatically through Google Play depending on your device settings. Some updates are necessary for continued secure operation, and older versions may stop working with your homeserver over time. We do not guarantee that the App will be available, supported, maintained, compatible with your device or with any homeserver, or free from interruption. We are under no obligation to provide support, maintenance, or any future version.

14. Export control and sanctions

The App contains cryptographic functionality and is subject to the export control laws of the United States, including the Export Administration Regulations, and to the laws of other jurisdictions. You represent and warrant that: (a) you are not located in, ordinarily resident in, or a national of any country or territory subject to comprehensive U.S. sanctions; (b) you are not listed on any U.S. government restricted-party list, including the Specially Designated Nationals and Blocked Persons List; and (c) you will not export, re-export, or transfer the App in violation of any applicable export control or sanctions law. You are also responsible for complying with any law in your own country that restricts the use, import, or possession of encryption or network-routing software. A breach of this section triggers your indemnity under §19.

15. Disclaimer of warranties

The app is provided "as is" and "as available", with all faults and defects, and without warranty of any kind. To the maximum extent permitted by applicable law, Lockmere and its officers, members, employees, contractors, agents, licensors and suppliers expressly disclaim all warranties, whether express, implied, statutory or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, system integration, and non-infringement, and any warranty arising from course of dealing, course of performance, or usage of trade.

Without limiting the foregoing, we do not warrant that the app will meet your requirements; that it will be uninterrupted, timely, secure, or error-free; that any defect will be corrected; that the app will protect your data against any particular threat, technique, or data-recovery method; that any security feature will function as expected in your circumstances; that messages will be sent, delivered, retained, or deleted; that data will be preserved; or that the app is lawful to use in your jurisdiction.

Some jurisdictions do not allow the exclusion of implied warranties or of certain consumer rights, so some or all of this section may not apply to you. Nothing in these Terms limits any non-waivable statutory right you have as a consumer.

16. Limitation of liability

To the maximum extent permitted by applicable law, Lockmere and its officers, members, employees, contractors, agents, licensors and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, or any loss, corruption, destruction, or non-delivery of data — including data destroyed by the features described in §8 — or for any unauthorised access to or disclosure of your data by any third party, arising out of or relating to the app or these terms, whether based in contract, tort (including negligence), strict liability, statute, or any other theory, and whether or not we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our total aggregate liability for all claims arising out of or relating to the app or these terms will not exceed the greater of (a) the total amount you actually paid us for the app in the twelve months before the event giving rise to the claim, or (b) fifty United States dollars (US$50). This cap applies in the aggregate across all claims and is not multiplied by the number of claims, incidents, or devices.

These limitations apply even if a limited remedy fails of its essential purpose, and they form an essential basis of the bargain between us: we make the App available on these terms because we could not make it available at all if we bore open-ended exposure for a product that we distribute without charge, whose operation we cannot observe, and whose environment we do not control. You acknowledge that the allocation of risk in §15 and §16 is reflected in the App being provided free of charge.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you. Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for wilful misconduct, or for any other liability that cannot lawfully be excluded or limited.

17. Release

To the maximum extent permitted by applicable law, you release Lockmere and its officers, members, employees, contractors and agents from all claims, demands, damages and liabilities of every kind, known and unknown, arising out of or in any way connected with: (a) any dispute between you and another user of the App; (b) any dispute between you and the operator of any homeserver, call server, proxy, push distributor, or other third-party service; (c) any dispute between you and your employer or organization concerning its configuration or use of the App, including remote lock or remote destroy; and (d) the conduct of any third party in connection with the App.

If you are a California resident, you waive California Civil Code §1542, which reads: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." You waive any comparable provision of the law of any other jurisdiction.

18. Time limit for bringing a claim

To the extent permitted by applicable law, any claim arising out of or relating to the app or these terms must be commenced within one (1) year after the claim accrues. A claim not commenced within that period is permanently barred.

Where the law of your jurisdiction does not permit the shortening of a limitation period, this section does not apply to you and the statutory period governs.

19. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend and hold harmless Lockmere and its officers, members, employees, contractors and agents from and against any claim, demand, investigation, proceeding, loss, liability, damage, cost or expense (including reasonable legal fees and the costs of responding to legal process) arising out of or relating to: (a) your use or misuse of the App; (b) content you transmit, receive or store through it; (c) your breach of these Terms, including §6 and §14, or of any applicable law; (d) your violation of the rights of any third party; or (e) any dispute between you and a third party, including a server operator, another user, or your organization.

We will notify you of any such claim, and may at our own expense assume its exclusive defence and control, in which case you agree to cooperate fully. You may not settle any claim in a way that imposes an obligation or admission on us without our prior written consent.

20. Governing law and dispute resolution

20.1 Governing law

These Terms and any dispute arising out of or relating to them or the App are governed by the laws of the State of Wyoming, United States, excluding its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods. If you are a consumer resident in the European Economic Area, the United Kingdom, or another jurisdiction whose law grants you the protection of mandatory local consumer rules, this choice of law does not deprive you of that protection.

20.2 Informal resolution first

Before commencing any formal proceeding, you agree to contact us at service@lockmere.io with a written description of the dispute, the relief you seek, and enough detail for us to evaluate it, and to allow us 60 days to resolve it informally. This step is a condition precedent to arbitration or litigation, and the applicable limitation period is tolled while it runs. A demand for arbitration filed before this period expires may be dismissed or stayed on that basis.

20.3 Binding individual arbitration

If the dispute is not resolved informally, and except as stated in §20.5 and §20.7, you and Lockmere agree that any dispute arising out of or relating to these Terms or the App will be resolved by final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules (or, where you are using the App on behalf of an organization, its Commercial Arbitration Rules), before a single arbitrator. The seat of arbitration is Sheridan County, Wyoming; the language is English; and the arbitration may be conducted by written submissions, telephone, or videoconference where the rules permit. Judgment on the award may be entered in any court of competent jurisdiction. The arbitrator, and not any court, decides all issues of arbitrability, except that a court decides whether §20.4 or §20.5 has been breached. The arbitrator may award only relief available under these Terms and may not award relief that these Terms exclude.

20.4 Class action and jury trial waiver

You and Lockmere agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, private-attorney-general, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative proceeding.

To the extent any dispute proceeds in court rather than in arbitration, you and Lockmere each knowingly and irrevocably waive any right to a trial by jury.

If the class-action waiver is found unenforceable as to a particular claim or request for relief, that claim or request will be severed and heard in court under §20.7, while all other claims proceed in arbitration. If the waiver is found unenforceable in its entirety, §20.3 is void in its entirety and the dispute proceeds in court under §20.7; the jury-trial waiver survives.

20.5 Coordinated filings

If 25 or more demands for arbitration raising substantially similar claims are filed against us by or with the assistance of the same counsel or coordinated group, you and we agree that these are coordinated filings and that the AAA's rules for multiple case filings apply. The demands will be grouped into batches of no more than 50, each batch heard by a single arbitrator, and only after the first two batches are resolved may further batches be filed. The limitation period in §18 is tolled for demands awaiting their batch. This section exists so that both sides bear proportionate cost, and neither side may use the volume of filings as leverage independent of the merits.

20.6 Your right to opt out of arbitration

You may opt out of §20.3, §20.4 and §20.5 by sending written notice to service@lockmere.io with the subject line "Arbitration Opt-Out", stating your name and the device or account you use, within 30 days of first accepting these Terms. Opting out affects nothing else in these Terms, and we will not treat it as a reason to restrict your use of the App. If you opt out, disputes are resolved under §20.7.

20.7 Court proceedings and exceptions

Either party may bring an individual action in small claims court, and either party may seek injunctive or equitable relief in court for the alleged infringement or misuse of intellectual property rights, without first proceeding under §20.2 or §20.3. Where arbitration does not apply — because you opted out, because a claim is severed under §20.4, or because arbitration is unenforceable against you under mandatory local law — you and Lockmere consent to the exclusive jurisdiction of the state and federal courts located in Wyoming, United States, and waive any objection to personal jurisdiction or venue there.

Consumers in the EEA and the UK. Nothing in §20 deprives you of the right to bring proceedings in the courts of your country of residence, or of any other right that your local mandatory consumer law gives you and that cannot be waived by agreement. EU consumers may also use the European Commission's online dispute resolution platform, where available.

21. Termination

You may terminate these Terms at any time by uninstalling the App. We may suspend or terminate your licence immediately, without notice and without liability, if you materially breach these Terms, if we are required to do so by law, or if we discontinue the App. On termination, the licence in §4 ends and you must stop using and delete the App.

Survival. Sections 3, 5, 6, 7, 8, 9, 10, 11, 14, 15, 16, 17, 18, 19, 20 and 22 survive termination of these Terms for any reason.

23. Google Play

Where you acquired the App through Google Play, you acknowledge that these Terms are between you and Lockmere only, and not with Google; that Google is not responsible for the App or its content; that Google has no obligation to provide any support or maintenance for the App; that Google is not responsible for addressing any claim you have relating to the App, including product liability, non-conformity with legal requirements, or consumer protection claims; and that Google is not responsible for any third-party claim that the App infringes intellectual property rights. Your use of the App must also comply with the Google Play Terms of Service.

24. Changes to these Terms

We may revise these Terms. The revised version will be posted at this URL with an updated effective date. If a change is material, we will make reasonable efforts to notify you in the App or through Google Play before it takes effect. If you do not agree to a revised version, your remedy is to stop using and uninstall the App. Continuing to use the App after a revision takes effect means you accept it. A change to §20 does not apply retroactively to a dispute of which we had notice before the change took effect.

3. VeilX 是什么,以及不是什么

VeilX 起初是 Lockmere AI Labs 的一个内部项目——我们为妥善保管自己团队的客户资料与未发布项目而写的软件,这是工作本身的要求。与我们共事的人希望也能使用,于是我们决定将其公开发布。它以最初被建造的样子交到你手中,这也正是下列区分之所以重要的原因。

你不得且不得允许他人:(a) 对本应用进行反向工程、反编译或反汇编,但适用法律明确允许者除外;(b) 出租、出借、销售、再许可或分发本应用;(c) 移除或遮蔽任何权利声明;(d) 利用本应用开发竞争产品;(e) 规避本应用中的任何安全或许可机制;(f) 将本应用的修改版本表示为我们的产品,或以 VeilX 名义分发修改版本;或 (g) 以违反本条款或任何适用法律的方式使用本应用。

本应用包含第三方开源组件,其按各自许可证授予你相应权利,并附有各自作者的保证与责任免除声明。若某开源许可证赋予你的权利宽于本条,则就该组件以该许可证为准。

你不得利用本应用:传输违法内容;骚扰、威胁、诽谤或跟踪他人;传播恶意软件;侵犯知识产权或隐私权;传输儿童性虐待材料;协助恐怖主义、人口贩运或任何其他犯罪行为;或规避对你具有约束力的合法命令。由于我们不托管任何内容也无从查看,本条的执行必然属于你、你的服务器运营方与你所在法域主管机关之间的事项——但违反本条即构成违反本条款,第 4 条项下的许可立即终止,并触发你在第 19 条项下的赔偿义务。

6.2 不得用于高风险场景

本应用未针对下列情形进行设计、测试或许可:其失灵、不可用、被截获,或经其处理的信息被披露,可能导致死亡、人身伤害或对任何人的严重损害,或严重的财务、监管或环境损害——包括但不限于紧急或生命安全通讯、医疗用途、关键基础设施运行、航空器或车辆控制,以及任何人身安全取决于消息保密性、完整性或送达的用途。

你陈述并保证不会将本应用用于任何上述用途。若你仍然如此使用,则完全由你自担风险、自负其责,你接受由此产生后果的全部责任,并同意我们不承担任何责任。本限制是本条款的重要条款;本应用正是在此前提下免费提供。

8. 数据销毁类功能——启用前请务必阅读

本应用包含以永久销毁数据为唯一目的的功能,其执行不设二次确认,且没有任何恢复可能。启用即表示你完全接受该风险,并对其后果承担全部责任。

对任何你无法承受丢失的内容,你有责任自行另行备份。本应用不是备份系统,其设计目标恰恰是让数据不可恢复。你确认:数据丢失是第 8 条所述功能可预见且有意为之的后果,你对此予以接受。

9. 安全:本应用不作出的承诺

VeilX 提供安全功能。但它不提供安全保证,也绝不应被当作保证看待。

在不限制第 15 条的前提下,你确认并同意:

在任何信息泄露、丢失或未能送达可能对任何人造成严重伤害、或对你的业务造成严重损害的情形中,切勿将本应用作为唯一的防护手段。见第 6.2 条。

10. 风险自担与不依赖声明

你确认:你已阅读第 6、8、9 条,理解本应用的性质与使用风险,并在知情且自愿的前提下自行承担该等风险。你所使用的是无偿获得的免费软件,其运行状况我们无从观察,其运行环境亦非我们所能控制。

你进一步确认:除本条款明文载明者外,你并未依赖任何关于本应用的陈述、声明、保证、演示、截图、商店页面文案、评价或保证性说法,且该等内容均不构成本协议的组成部分。除经签署的书面修订外,我们的任何雇员、承包商或代理人均无权以口头或书面方式变更本条款。

11. 反馈

若你向我们提供关于本应用的反馈、缺陷报告、功能建议或其他想法,即表示你授予我们永久的、不可撤销的、全球范围的、免版税的、可完全再许可的许可,允许我们为任何目的使用、修改与利用该等内容,无须对你承担任何义务、署名或补偿。你保证你有权向我们提供该等反馈。无论是否源自你的建议,我们均可自由开发与之相似的功能,你不得就此提出任何主张。

你可通过 service@lockmere.io 向我们报告安全漏洞。我们感谢负责任的漏洞披露,但我们不运营付费漏洞赏金计划,报告漏洞不产生任何获得报酬的权利。

12. 费用

本应用目前免费提供。我们日后可能推出付费功能;如推出,将在你产生任何费用之前披露条款与价格,且不会就你未同意的项目收费。经由 Google Play 发生的任何收费,均由 Google 依其条款(含退款政策)处理。

13. 更新、变更与可用性

我们可随时发布更新、修改或停止某些功能,或完全停止提供本应用,且不因此对你承担责任。视你的设备设置,更新可能通过 Google Play 自动推送。部分更新对于持续安全运行是必需的,旧版本可能随时间推移而无法继续与你的 homeserver 协同工作。我们不保证本应用始终可用、获得支持或维护、与你的设备或任何 homeserver 兼容,或不中断。我们没有提供支持、维护或任何后续版本的义务。

14. 出口管制与制裁

本应用包含密码学功能,受美国出口管制法律(含《出口管理条例》EAR)及其他法域法律的管辖。你陈述并保证:(a) 你不位于、不通常居住于任何受美国全面制裁的国家或地区,亦非其国民;(b) 你未列入任何美国政府限制名单,包括特别指定国民与被封锁人员名单(SDN List);(c) 你不会以违反任何适用出口管制或制裁法律的方式出口、再出口或转让本应用。你亦须自行遵守你所在国家关于使用、进口或持有加密或网络路由软件的任何法律限制。违反本条将触发你在第 19 条项下的赔偿义务。

15. 保证的排除

本应用按"现状"与"现有可用"状态提供,包含一切瑕疵与缺陷,不附带任何形式的保证。在适用法律允许的最大范围内,Lockmere 及其管理人员、成员、雇员、承包商、代理人、许可方与供应商明确排除一切明示、默示、法定或其他形式的保证,包括但不限于适销性、特定用途适用性、所有权、不受干扰使用、准确性、系统集成与不侵权的默示保证,以及任何因交易习惯、履约过程或行业惯例而产生的保证。

在不限制前述内容的前提下,我们不保证:本应用能满足你的要求;其运行不中断、及时、安全或无差错;任何缺陷将被修复;本应用能抵御任何特定威胁、技术或数据恢复方法;任何安全功能将在你的具体情境下按预期运作;消息必然被发送、送达、保留或删除;数据必然被保全;或本应用在你所在法域可合法使用。

部分法域不允许排除默示保证或某些消费者权利,因此本条的部分或全部内容可能对你不适用。本条款不限制你作为消费者所享有的任何不可放弃的法定权利。

16. 责任限制

在适用法律允许的最大范围内,对于因本应用或本条款引起或与之相关的任何间接、附带、特殊、后果性、惩戒性或惩罚性损害,或任何利润、收入、商誉、商业机会的损失,或任何数据的丢失、损坏、销毁或未能送达(包括第 8 条所述功能所销毁的数据),或任何第三方对你数据的未经授权访问或披露,Lockmere 及其管理人员、成员、雇员、承包商、代理人、许可方与供应商均不承担责任,无论其请求权基础为合同、侵权(含过失)、严格责任、成文法或其他理论,亦无论我们是否被告知此类损害的可能性。

在适用法律允许的最大范围内,我们就因本应用或本条款引起或与之相关的全部请求所负的累计责任总额,不超过以下两者中的较高者:(a) 在引发索赔的事件发生前十二个月内你就本应用实际向我们支付的总金额;或 (b) 五十美元(US$50)。该上限就全部请求合并适用,不因请求、事件或设备的数量而倍增。

即使有限救济未能实现其根本目的,上述限制仍然适用;且该等限制构成双方交易的根本基础:我们之所以按本条款提供本应用,是因为对于一款免费分发、运行状况无从观察、运行环境亦非我们所能控制的产品,若须承担无限责任,我们根本无法提供它。你确认:第 15 条与第 16 条所作的风险分配,已体现在本应用系免费提供这一事实之中。

部分法域不允许排除或限制某些损害赔偿,因此上述部分限制可能对你不适用。本条款不排除或限制因我们的过失导致的死亡或人身伤害责任、欺诈或欺诈性不实陈述责任、故意不当行为责任,或依法不得排除或限制的其他任何责任。

17. 请求权的免除

在适用法律允许的最大范围内,你免除 Lockmere 及其管理人员、成员、雇员、承包商与代理人因下列事项引起或与之相关的一切已知与未知的请求、主张、损害与责任:(a) 你与本应用其他用户之间的任何争议;(b) 你与任何 homeserver、通话服务器、代理、推送分发器或其他第三方服务的运营方之间的任何争议;(c) 你与你的雇主或所属组织之间就其对本应用的配置或使用(含远程锁定或远程销毁)产生的任何争议;及 (d) 任何第三方与本应用有关的行为。

若你是加利福尼亚州居民,你放弃《加州民法典》第 1542 条的适用,该条规定:"概括免除不及于免除方在签署免除时不知悉或未曾怀疑存在的、对其有利的请求,且该等请求若为其所知悉,将对其与债务方或被免除方之间的和解产生重大影响。"你同时放弃任何其他法域中的类似规定。

18. 提出请求的时限

在适用法律允许的范围内,因本应用或本条款引起或与之相关的任何请求,须在该请求产生之日起一(1)年内提出。逾期未提出的请求将永久失权。

若你所在法域的法律不允许缩短时效期间,则本条对你不适用,以法定时效期间为准。

19. 赔偿

在法律允许的最大范围内,你同意就下列事由引起或与之相关的任何请求、主张、调查、程序、损失、责任、损害、成本或费用(含合理律师费及应对法律程序所产生的费用),向 Lockmere 及其管理人员、成员、雇员、承包商与代理人作出赔偿、进行抗辩并使其免受损害:(a) 你使用或不当使用本应用;(b) 你通过本应用传输、接收或存储的内容;(c) 你违反本条款(含第 6 条与第 14 条)或任何适用法律;(d) 你侵犯任何第三方权利;或 (e) 你与任何第三方(包括服务器运营方、其他用户或你所属组织)之间的任何争议。

我们将就此类请求通知你,并可自费承担其排他性抗辩与控制权,此时你同意予以充分配合。未经我们事先书面同意,你不得以对我们施加义务或作出承认的方式和解任何请求。

20. 管辖法律与争议解决

20.1 管辖法律

本条款以及因本条款或本应用引起或与之相关的任何争议,均受美国怀俄明州法律管辖,排除其法律冲突规则,并排除《联合国国际货物销售合同公约》的适用。若你是居住于欧洲经济区、英国或其他法律赋予你强制性本地消费者保护的法域的消费者,本法律选择不得剥夺你所享有的该等保护。

20.2 先行协商

在启动任何正式程序之前,你同意先通过 service@lockmere.io 以书面形式向我们说明争议内容、你所主张的救济,以及足以让我们进行评估的细节,并给予我们 60 天时间进行协商解决。该步骤是提起仲裁或诉讼的前置条件,且在此期间相关时效中止。在该期间届满前提起的仲裁申请,可据此被驳回或中止。

20.3 具约束力的个人仲裁

若争议未能通过协商解决,且除第 20.5 条与第 20.7 条另有规定外,你与 Lockmere 同意,因本条款或本应用引起或与之相关的任何争议,均应提交美国仲裁协会(AAA)依其《消费者仲裁规则》(若你代表组织使用本应用,则依其《商事仲裁规则》)进行终局且有约束力的仲裁,由一名独任仲裁员审理。仲裁地为美国怀俄明州谢里丹县;仲裁语言为英语;在规则允许的情况下,可采用书面审理、电话或视频会议方式进行。仲裁裁决可由任何有管辖权的法院予以执行。一切关于可仲裁性的争议由仲裁员而非法院裁定,但第 20.4 条或第 20.5 条是否被违反由法院裁定。仲裁员仅可裁予本条款项下可获得的救济,不得裁予本条款所排除的救济。

20.4 集体诉讼与陪审团审判弃权

你与 Lockmere 同意,双方仅能以个人身份相互提出请求,不得作为任何拟制的集体、集合、合并、私人检察总长或代表性程序中的原告或集体成员提出请求。仲裁员不得合并一人以上的请求,亦不得主持任何形式的代表性程序。

在任何争议以诉讼而非仲裁方式进行的范围内,你与 Lockmere 各自在知情的前提下不可撤销地放弃要求陪审团审判的权利。

若集体诉讼弃权条款就某一特定请求或救济被认定不可执行,则该请求或救济应予分离并依第 20.7 条在法院审理,其余请求继续通过仲裁进行。若该弃权条款被整体认定不可执行,则第 20.3 条整体无效,争议依第 20.7 条在法院进行;陪审团弃权条款继续有效。

20.5 协同批量申请

若由同一律师或同一协同团体提起或协助提起的、主张实质相似请求的仲裁申请达到 25 件或以上,你与我们同意该等申请构成协同批量申请,适用 AAA 关于多案件申请的规则。该等申请将被分组,每组不超过 50 件,各组由一名独任仲裁员审理;且只有在前两组审结之后,方可提交后续各组。对于等待分组的申请,第 18 条规定的时限中止计算。本条旨在使双方承担相称的成本,任何一方均不得将申请数量本身用作与案件是非曲直无关的施压手段。

20.6 你退出仲裁的权利

你可以选择退出第 20.3、20.4 与 20.5 条:在首次接受本条款后 30 天内,向 service@lockmere.io 发送主题为"Arbitration Opt-Out"的书面通知,写明你的姓名及所使用的设备或账号即可。退出不影响本条款的其他任何内容,我们也不会以此为由限制你使用本应用。退出后,争议依第 20.7 条解决。

20.7 法院程序与例外

任何一方均可在小额索赔法院提起个人诉讼;任何一方亦可就据称的知识产权侵权或滥用向法院申请禁令或衡平救济,无需先行适用第 20.2 或 20.3 条。在仲裁不适用的情形下——因你已退出、因请求依第 20.4 条被分离,或因依强制性当地法律仲裁对你不可执行——你与 Lockmere 同意接受美国怀俄明州州法院与联邦法院的专属管辖,并放弃就该地的属人管辖或审判地提出异议。

欧洲经济区与英国消费者。第 20 条不剥夺你在居住国法院提起诉讼的权利,也不剥夺当地强制性消费者法律赋予你的、不得以约定放弃的任何其他权利。欧盟消费者亦可使用欧盟委员会的在线争议解决平台(如可用)。

21. 终止

你可随时通过卸载本应用终止本条款。若你严重违反本条款、法律要求我们如此行事,或我们停止提供本应用,我们可立即中止或终止你的许可,无需通知且不承担责任。终止后,第 4 条项下的许可即告结束,你须停止使用并删除本应用。

存续。无论因何原因终止,第 3、5、6、7、8、9、10、11、14、15、16、17、18、19、20 及 22 条在终止后继续有效。

若你通过 Google Play 获取本应用,你确认:本条款仅存在于你与 Lockmere 之间,与 Google 无关;Google 不对本应用或其内容负责;Google 无义务为本应用提供任何支持或维护;Google 不负责处理你就本应用提出的任何请求,包括产品责任、不符合法律要求或消费者保护方面的请求;Google 亦不负责任何第三方关于本应用侵犯知识产权的主张。你对本应用的使用还须遵守《Google Play 服务条款》。

24. 条款变更

我们可能修订本条款。修订后的版本将发布于本网址并更新生效日期。若变更属重大变更,我们将在其生效前尽合理努力通过本应用或 Google Play 通知你。若你不同意修订版本,你的救济方式是停止使用并卸载本应用。修订生效后继续使用本应用即表示你接受该修订。对第 20 条的变更不溯及适用于我们在变更生效前已获知的争议。
